当企业利润增大，除享受既定比率的利息外，还可以跟普通股共同参与利润分配的优先股，称为“参与优先股”。
参与优先股的英文为“participating preferred stock”，其英文释义如下：

全部参与优先股票在收益分配上接近于普通股票，而部分参与优先股票则与普通股票有较大差别，尤其是在公司盈利很多时较为明显，但它与非参与优先股票相比，仍有可能获得相对较高的收益。另外，有些国家的股份公司章程还规定，参与优先股票除了有权与普通股票一起参与或部分参与对超额盈利的分配外，在公司终止清算时，对公司偿还了各方面债务及按优先股的面值对优先股股东清偿后的剩余资产，也有权与普通股票一起参加分配。
非参与优先股
